This agreement is made on August 16th, 2022 by and between Digital Storyteller (hereinafter referred to as “Contractor”) and Client Name (TBD) (and its subsidiaries), (hereafter referred to as Client).
Whereas the Contractor is engaged in the business of providing website design and implementation services.
NOW, THEREFORE, for and in consideration of the mutual promises, terms, provisions, and conditions contained herein, the parties agree to services and deliverables as follows:
This 2-hour session focuses on understanding the company’s brand voice and archetype. Central to a coherent brand presence in our process is the identification of and understanding of each client’s unique brand voice – otherwise, you’re just writing the same stuff as everyone else.
Logo Discovery session: 2-hour session to identify preferred styles, feels, colors, and other visual elements that will inform the design.
Brand Mark and Logo Design: 3 – 5 options with up to 5 rounds of revisions
Tag Line session: 1 – 2 hour session exploring taglines, how do you want them to feel? What do you want them to do? This session builds on the Brand Storytelling session in which we will have created a heat map word-cloud of the language you already use to describe the impact you make.
Brand presence landing page or simple 2 – 3 page site: Home, About and Contact page

Hosting the first year $350
Setup install templates all licenses setup $600
(23 Page Document) Includes the following:
Godaddy or other hosting,
Admin access to the CRM you will be using
In-person zoom calls to review the site live.
We communicate in google docs
All asset ownership rests with the client. All logins, access, and usernames will be shared with the client. All images, original and those sourced from stock photography will be licensed for use and purchased or downloaded from a creative commons license.
THE FINE PRINT:
Payment Terms: Total for the build: $8,250
$4,000 Deposit (Invoiced and due at signing. The deposit is nonrefundable and represents 1/2 of the cost of the website design/ build)
$350 first year web hosting
$600 setup of website
Final payment shall be due and payable on delivery of logo and brand manual, and live website/ landing page in the amount of $4,250.
Additional work, beyond the phases outlined above may be requested at the rate of $150 per hour.
If there are any out-of-pocket expenses or additional costs, this will be approved in writing by the Contractor and the client.
Statement of work: Contractor is in the business of design and marketing services. Client seeks the following services detailed in the Scope of Work from Contractor.
Scope of work: The Contractor agrees to furnish all labor, materials, equipment, services, and other facilities required to complete the following scope of work as described in the scope of work
The Contractor shall furnish duly qualified persons to provide the services under this Agreement, which persons shall at all times be either employees or independent contractors of the Contractor.
Anything created for the Client is considered proprietary to the Client and will not be repurposed for any other client.
Costs: The Contractor will secure written approval for any additional expenses. Any pre-approved expenses shall be invoiced and paid in accordance with the Agreement.
Terms of work: Relationship will start when the deposit and/or balance are submitted and the Agreement is signed. Calendar may vary due to unforeseen circumstances. The Contractor will communicate regularly with the Client.
Contractor assumes that there is timely correspondence between the Contractor and the Client, and that the Client provides the Contractor the requested items as outlined in the SOW.
Engagement estimated 6 – 12 weeks in length. Should the engagement exceed 6 months due to Client’s schedule, conflicts or outside commitments. final payment will be due at that 6 month deadline. Not to exceed 1 year in total. Contractor will adhere to the weekly meetings and will NOT elongate timeline. This clause is to prevent clients from getting distracted and going dark, not as an excuse for us to be slow.

Electronic Signature Agreement. By selecting the “DIGITALLY SIGN/ SUBMIT” button, you are signing this Agreement electronically. You agree your electronic signature is the legal equivalent of your manual signature on this Agreement. By selecting “DIGITALLY SIGN/ SUBMIT” you consent to be legally bound by this Agreement’s terms and conditions. You further agree that your use of a key pad, mouse or other device to select an item, button, icon or similar act/action, or to otherwise provide Digital Storyteller, or in accessing or making any transaction regarding any agreement, acknowledgement, consent terms, disclosures or conditions constitutes your signature (hereafter referred to as “E-Signature”), acceptance and agreement as if actually signed by you in writing. You agree that the earth is round and people who believe otherwise are just plain nuts. You also agree that no certification authority or other third party verification is necessary to validate your E-Signature and that the lack of such certification or third party verification will not in any way affect the enforceability of your E-Signature or any resulting contract between you and Digital Storyteller, LLC. You represent that you are authorized to enter into this Agreement.
