Scope of Work and Professional Services Agreement

GOALS:

Website Redesign: 

Focused on brand voice and clear messaging

Creating pathways to outreach for visitors

Resource center to educate

(*workflows and systemizing client and prospect interaction to follow once web design is complete.)

Proprietary hosting platform for speed and security

Integrated form fills and lead capture.

This agreement is made on June 26, 2020 by and between Digital Storyteller (hereinafter referred to as “Contractor”) and Competitive Edge (and it’s subsidiaries), (hereafter referred to as Client).

Whereas the Contractor is engaged in the business of providing website design and implementation services.

NOW, THEREFORE, for and in consideration of the mutual promises, terms, provisions and conditions contained herein, the parties agree to services and deliverables as follows:

PHASE 1: Staging Site (2 weeks)

PHASE 2: Client-side edits (2 weeks)

PHASE 3: Final revisions (2 weeks)

All timelines are estimates based on previous work and my experience with design and implementation. If CLIENT needs more time, they are welcome to it. .Contractor will adhere to the above-stated schedule barring unforeseen circumstances.

PHASE 1: Staging

This is the initial build of the site. Set up with hosting, optimization for load speed, security and integration with existing software platforms.

We will need:

Logins to CRM, Godaddy or other hosting, Google Adwords or Analytics accounts ( if you have them), logins for LinkedIn Business page and the Gmail account used for YouTube postings.

Once Phase 1 is completed, we will move to client side edits

PHASE 2: Client Edits

What to Expect:

In-person zoom call to review the site live or

We communicate in google docs

Social Media Sites: We will create branded banners for LI.

Website blog posts: We will create and post 8 blog posts to the site (not complete at the 2 week mark – due by live launch) SEO optimized for inbound traffic and ready to push to social when the site goes live.

Additional Specifics

If at any point before we go live you’re not happy we will turn the ownership of the site, all the assets and control of the process over to you and waive the final 50%

THE FINE PRINT:

Payment Terms:

$3,750 Deposit (Invoiced and due at signing. The deposit is nonrefundable and represents 1/2 of the cost of the website design/ build)

Final payment shall be due and payable on live launch in the amount of $3,750. Additional work, beyond the phases outlined above may be requested at the rate of $150 per hour.

If there are any out-of-pocket expenses or additional costs, this will be approved in writing by the Contractor and the client.

Statement of work: Contractor is in the business of design and marketing services. Client seeks the following services detailed in the Scope of Work from Contractor.

Scope of work: The Contractor agrees to furnish all labor, materials, equipment, services, and other facilities required to complete the following scope of work as described in the scope of work

The Contractor shall furnish duly qualified persons to provide the services under this Agreement, which persons shall at all times be either employees or independent contractors of the Contractor.

Anything created for the Client is considered proprietary to the Client and will not be repurposed for any other client.

Costs: The Contractor will secure written approval for any additional expenses. Any pre-approved expenses shall be invoiced and paid in accordance with the Agreement.

Terms of work: Relationship will start when the deposit and/or balance are submitted and the Agreement is signed. Calendar may vary due to unforeseen circumstances. The Contractor will communicate regularly with the Client.

Contractor assumes that there is timely correspondence between the Contractor and the Client, and that the Client provides the Contractor the requested items as outlined in the SOW.

Electronic Signature Agreement. By selecting the “DIGITALLY SIGN/ SUBMIT” button, you are signing this Agreement electronically. You agree your electronic signature is the legal equivalent of your manual signature on this Agreement. By selecting “DIGITALLY SIGN/ SUBMIT” you consent to be legally bound by this Agreement’s terms and conditions. You further agree that your use of a key pad, mouse or other device to select an item, button, icon or similar act/action, or to otherwise provide Digital Storyteller, or in accessing or making any transaction regarding any agreement, acknowledgement, consent terms, disclosures or conditions constitutes your signature (hereafter referred to as “E-Signature”), acceptance and agreement as if actually signed by you in writing. You agree that the earth is round and people who believe otherwise are just plain nuts. You also agree that no certification authority or other third party verification is necessary to validate your E-Signature and that the lack of such certification or third party verification will not in any way affect the enforceability of your E-Signature or any resulting contract between you and Digital Storyteller, LLC. You represent that you are authorized to enter into this Agreement.
